Terms of Service

Adly is a marketplace that connects advertisers with media owners who sell out-of-home (OOH) advertising inventory — billboards, transit placements, digital screens, and similar surfaces. Advertisers can search inventory and book placements; media owners can list inventory, manage availability, and accept bookings. Adly provides the platform and processes payments. We are not the buyer, seller, owner, or operator of any inventory listed on the platform.

• You must be at least 18 and able to enter contracts to use Adly.
• You are responsible for keeping your login credentials secret and for all activity under your account.
• Tell us promptly at hello@adly.media if you believe your account has been compromised.
• The information you provide to Adly (company name, role, listing details) must be accurate and kept up to date.

For media owners:

• You represent that you own or have the legal right to sell the inventory you list.
• Listings must accurately describe the inventory, location, dimensions, availability, and price.
• You agree to honor accepted bookings and deliver the inventory as described, on the dates booked.

For advertisers:

• You agree to pay for bookings you complete at checkout.
• Your creative content must comply with applicable advertising laws and the media owner's reasonable content standards.
• Adly may remove creative content that we determine, in our reasonable discretion, is illegal or violates these terms.

Bookings are paid through Stripe. By completing a booking you authorize the charge displayed at checkout. Adly may take a marketplace fee from each transaction; the breakdown is shown before you confirm. Refunds and cancellations follow the policy shown on the listing or in the booking confirmation; if no policy is specified, contact hello@adly.media and we’ll work with both parties.

You agree not to: misuse the platform, attempt to access accounts or data you don’t own, scrape or copy listings without permission, upload malicious code, infringe anyone’s intellectual property, or use Adly to facilitate illegal activities. We may suspend or terminate accounts that violate these terms.

Adly and its logos, design, and software are owned by us. The content you upload (listings, creative assets, profile info) stays yours — by uploading it, you grant Adly a worldwide, royalty-free license to host, display, and otherwise use it as needed to operate the service.

Adly is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee uninterrupted or error-free service, and we don’t verify the identity of every user or the accuracy of every listing. Transactions on the platform are between the advertiser and the media owner — Adly is the marketplace, not a party to the underlying advertising contract.

To the maximum extent permitted by law, Adly’s total aggregate liability arising out of or relating to these terms or the service is limited to the greater of (a) the fees you paid Adly in the 12 months preceding the claim or (b) USD $100. Adly is not liable for indirect, incidental, special, consequential, or punitive damages.

You can stop using Adly at any time and request account deletion at hello@adly.media. We may suspend or terminate your access if you breach these terms or use the service in a way that creates risk for us or other users.

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising under these terms will be resolved in the state or federal courts located in Delaware.

We may update these terms from time to time. The “Last updated” date at the top reflects the latest version. Material changes will be communicated to signed-in users by email. Continued use of Adly after a change means you accept the updated terms.
